Assistant Company Secretary
Abingdon


RPS Group has an exciting opportunity for an Assistant Company Secretary to join our Abingdon team.

This role will see you working alongside the Company Secretary on a full-time basis. Responsible for Statutory and regulatory compliance for RPS Group Plc and its UK subsidiary companies incorporating Company Law, related legislation, Listing Rule compliance and regulatory announcements

Main Responsibilities
• Assist with Board and Committee meetings
• Act as the main administrator for “Diligent” the platform that RPS uses for board papers
• Complete ongoing maintenance of Group Corporate databases/structure charts and related liaison with overseas offices as required
• Share capital administration, registrars, allotments, dividends, Dealing/MAR
• Assistance with corporate governance and corporate risk matters
• Group corporate reorganisations and rationalisations
• Assistance with preparation and administration of:
o Annual Report and Accounts
o General Meetings – notices, administration and organisation
o The Company’s general insurance programme and liaison with the Company’s brokers
o Group share plans to incorporate co-ordination of activities undertaken by external administrators, trustees and stockbrokers as well as internal communications and support

Skills, experience and Qualifications required
• Prior experience in a Company Secretarial role
• ICSA qualified
• Experience in Operation of share plans in multi-national public companies
• Able to identify project risks and manage those risks as required
• Demonstrate awareness of financial issues involved in projects
• Able to monitor and maintain quality
• Demonstrates an understanding of efficiencies required within the business
• The highest level of integrity is required in the position along with a professional attitude
• Self-aware and highly resilient individual capable of challenging and being challenged
